These Terms of Service ("Terms") govern your access to and use of ByaparPOS, a point-of-sale and inventory management platform operated as a sole proprietorship based in Kalika-6, Chitwan, Nepal (formal business registration in progress; "ByaparPOS", "we", "us"). By submitting an application, accepting an invitation, or using the platform, you agree to these Terms.
ByaparPOS provides point-of-sale software for retail businesses in Nepal — a shared product catalogue, per-store pricing and inventory, Nepal VAT calculation, receipt printing, and related reporting. It is provided as a hosted (cloud) service; there is no self-hosted or offline-only version.
You must be at least 18 years old and either the owner of a retail business or someone authorized to act on its behalf. You're responsible for holding any registrations Nepal law requires for the kind of business you operate — including PAN and, where applicable, VAT registration with the Inland Revenue Department (IRD).
There is no open self-serve signup. You submit an application through the landing page; we review it and, if approved, send you an invitation to set up your store. We may decline or delay an application at our discretion — for example if the information provided looks incomplete or inconsistent.
ByaparPOS is currently offered on a free trial basis. Paid subscription pricing has not yet been announced — contact support@byaparpos.com for current details before relying on continued free access. If and when paid plans launch, we will give existing businesses reasonable advance notice before any charge applies to their account, and will describe billing frequency, payment methods, and any refund terms at that time.
The product catalogue (item names, brands, barcodes, suggested prices) is shared across every business on the platform so nobody has to enter common products from scratch. Your own data — your selling prices, cost prices, stock levels, sales, and customers — is private to your business and is not visible to any other business on the platform.
ByaparPOS helps you calculate VAT on sales and issue receipts with gapless invoice numbering, in line with IRD expectations for point-of-sale record-keeping. That said: you are solely responsible for your own PAN/VAT registration, the accuracy of your tax settings in the platform, and for filing your returns with the Inland Revenue Department. ByaparPOS does not file returns on your behalf, does not act as your accountant or tax advisor, and is not liable for penalties, interest, or other consequences arising from incorrect tax filings, misconfigured tax rates, or your own data-entry errors — including where those errors stem from a mistake you made in the platform.

We may suspend or terminate access to an account for breach of these Terms, non-payment once paid plans are in effect, or suspected fraudulent or unlawful use. Suspension does not delete your data — see the Privacy Policy for how long it's retained. You may stop using the platform at any time; contact us to close your account.
The ByaparPOS software, branding, and platform design are our property. Data you enter — your products, prices, sales, and customer information — remains yours; using the platform doesn't transfer ownership of it to us.
The platform is provided "as is." We work to keep it reliable, including offline-capable sales recording that syncs once you're back online, but we don't guarantee uninterrupted or error-free operation, and we make no warranty that the platform is fit for any particular purpose beyond what is described here.
To the maximum extent permitted under Nepal law, ByaparPOS's total liability to you for any claim arising from your use of the platform is limited to the fees you actually paid us in the 12 months before the claim arose (which, during the current free trial period, is zero). We are not liable for indirect, incidental, or consequential losses, including lost profits or lost sales data caused by factors outside our reasonable control.
We may update these Terms as the platform develops. We'll post the updated version here with a new "last updated" date; continued use after a change means you accept the update.
These Terms are governed by the laws of Nepal. Any dispute arising from these Terms or your use of the platform is subject to the exclusive jurisdiction of the courts of Kathmandu.
